Terms of Service

On this page

In short. Use HeyBrain lawfully, connect only content you are entitled to connect, and keep your credentials safe. Your content stays yours — we only hold it to run the service for you.

AI answers can be wrong: check anything that matters before relying on it. The service is subject to the provisions below, including mandatory consumer rights.

This summary is a reading aid. The sections below are the operative text.

1. This agreement

These terms govern your use of HeyBrain. For the new personal signup flow, you agree to these Terms through the explicit agreement action shown before your account is created. The Privacy Policy explains processing; acknowledging it is not consent to optional marketing or tracking. If you are accepting on behalf of an organisation, you confirm you have authority to bind it, and “you” means that organisation.

Contracting entity. HeyBrain is provided by Hey Brain Inc. Company address: 8 The Green, STE A, Dover, Delaware 19901, USA.

2. The service

HeyBrain connects selected sources and lets people and agents retrieve knowledge under access controls. Supported operations produce access and audit records; the record’s scope depends on the operation and does not establish that every action or every operational log is content-free.

We may change or discontinue features. Where a change materially reduces functionality you rely on, we will give reasonable notice.

3. Accounts

  • You must be at least 16 and legally able to enter a contract.
  • Provide accurate information and keep it current.
  • You are responsible for activity under your account and for keeping sign-in links, agent keys and API credentials secure.
  • Tell us promptly if you believe a credential has been compromised.
  • An organisation administrator may control workspaces, membership, roles and content within their organisation.

4. Acceptable use

You must not:

  • Connect or upload content you have no right to use, or that infringes anyone’s rights.
  • Use HeyBrain to break the law, or to store or distribute unlawful material.
  • Attempt to bypass access controls, permissions or usage limits, or access another tenant’s data.
  • Probe, scan or attack the service, or interfere with its operation.
  • Reverse engineer the service, or resell or rent access except through features we provide for that purpose.
  • Use the service to build a competing product.
  • Use automated means to extract data beyond what the API permits.

We may suspend access for a serious or repeated breach, and will tell you why where we lawfully can.

5. Your content

You keep all rights in your content. You grant us a limited licence to host, copy, process, transmit and display it only to the extent needed to run the service for you — indexing it, extracting text, building your knowledge graph, and generating answers.

We do not use your content to train AI models, and we do not use it for advertising.

You are responsible for having the rights and permissions needed for the content you connect, including where it contains other people’s personal data.

6. Connected sources

When you connect a third-party source, you authorise us to access it on your behalf using the permissions you grant. Your use of that third-party service remains governed by its own terms.

HeyBrain aims to respect the permissions a source already enforces. You are responsible for deciding what to connect and who in your organisation can reach it. Disconnecting a source revokes our stored credentials and stops further syncing; content already imported remains until you delete it.

We are not responsible for a third-party service’s availability, or for changes it makes to its API or permission model.

7. Agents and API access

You may connect AI agents and clients through our API and MCP endpoint. An agent key acts strictly as the member who issued it and can never reach more than that member can.

You are responsible for the agents you connect and for everything done with your keys. Keys can be rotated or revoked at any time, and you should revoke any key you no longer control.

Agent connectors can have separate recall, session-capture and explicit-save paths. Depending on the client and its settings, they may send prompts, visible messages and final responses, including pasted or reproduced document text. Context returned to an agent may be processed by its separate provider. Review each connector’s scope and controls before enabling it. A setting in one client does not by itself disable every path or every installed version.

8. AI output

AI answers can be incomplete, outdated or wrong. They are generated from your content and are not professional advice of any kind. Verify anything you intend to rely on — particularly for legal, financial, medical or safety decisions. Citations are provided precisely so you can check the source.

As between you and us, you own the output generated from your content. Similar output may be generated for other users from their own content.

9. Plans and billing

The Free plan does not automatically become a paid subscription. Paid charges require the separate purchase action and terms shown at checkout.

  • Paid plans are billed in advance on the cycle shown at checkout, and renew automatically until cancelled.
  • Prepaid credits are consumed by usage. Unless stated otherwise they are non-refundable and may expire as described at purchase.
  • Where you supply your own model provider key, that provider bills you directly and we are not party to it.
  • Seat changes are prorated. Cancelling stops future renewals; it does not refund the current period unless the law requires it.
  • Deleting your account cancels any paid plan immediately. Access ends at deletion, and unused time in the current billing period is not refunded unless the law requires it.
  • Prices may change with reasonable notice, taking effect at your next renewal.
  • You are responsible for applicable taxes.
  • We may suspend a materially overdue account after notice.

10. Availability and beta features

We aim for high availability but do not promise uninterrupted service unless we have agreed a separate service level with you in writing. Maintenance, third-party outages and events outside our control can interrupt it.

Features marked beta, preview or experimental are provided as-is, may change or be withdrawn, and should not be relied upon in production.

11. Intellectual property

Except for your content and the output rights addressed in sections 5 and 8, intellectual-property rights in the service's software, design and documentation remain with their respective rights holders. These terms permit non-exclusive, non-transferable use of the service while your account is in good standing. Applicable third-party licences continue to apply.

If you send us feedback, we may use it without obligation or compensation. We will not identify you as its source without your permission.

12. Confidentiality

Each party may receive confidential information from the other. Neither will disclose it except to those who need it and are bound by similar obligations, and each will protect it with at least reasonable care. This does not cover information that is public, independently developed, or lawfully received from a third party.

13. Disclaimers

For business use, except as expressly stated, the service is provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including merchantability, fitness for a particular purpose and non-infringement.

For business use, we do not warrant that the service will be uninterrupted or error-free, that defects will be corrected, or that AI output will be accurate or complete.

Nothing here excludes liability that cannot lawfully be excluded, including for death or personal injury caused by negligence, or for fraud.

Consumers retain mandatory rights and remedies. These terms do not exclude our liability or your remedies where law does not permit it. The business warranty exclusions in this section, liability limits in section 14 and indemnity in section 15 do not apply to consumers.

14. Limitation of liability

For business use, to the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or data, however caused.

For business use, our total aggregate liability arising out of or relating to these terms is limited to the greater of the amounts you paid us in the twelve months before the event giving rise to the claim, or one hundred US dollars.

These limits apply even if a remedy fails of its essential purpose, and do not apply to the exclusions in section 13.

15. Indemnity

For business use, you will defend and indemnify us against claims, damages and reasonable costs arising from your content, your use of the service in breach of these terms, or your violation of law or of a third party’s rights. We will tell you promptly of any such claim and let you control the defence, provided any settlement does not impose obligations on us.

16. Termination

You may stop using the service and request account deletion at any time. Deleting an account cancels its paid plan immediately, without a refund for unused time unless the law requires one (see Plans and billing). For team accounts, we may need to resolve ownership or administration of shared workspaces and organisation content before closing the account. This does not prevent you from submitting a request concerning your personal data. Account closure, removal from active systems and deletion or expiry of retained copies are separate stages described in our Privacy Policy and Data Retention and Deletion Schedule. Applicable statutory rights continue to apply. We may suspend or terminate access for material breach, or if required by law, with notice where practicable.

On termination your right to use the service ends. You should export anything you need first; we may delete your content after a reasonable period. Sections that by their nature should survive — ownership, confidentiality, disclaimers, liability, indemnity and governing law — continue to apply.

17. Changes

Revision history: the 31 October 2026 update states that deleting an account cancels any paid plan immediately, without a refund for unused time unless the law requires one. It follows the 20 October 2026 clarification of the 7 October 2026 published Terms. Earlier agreement records and their versioned documents remain unchanged; viewing this page does not create a new acceptance.

This update clarifies agent transmission and account-closure and deletion stages. It preserves the earlier personal-signup agreement, Free-plan charge and consumer protections. It does not retrospectively remove accrued rights or replace earlier agreement records with a new acceptance.

We may update these terms. For material changes we will give notice by email or in the product before they take effect, and obtain further agreement where required. Changes do not retrospectively remove accrued rights. The date at the top of this page always reflects the current version.

18. Governing law

Panama law. These terms and your use of HeyBrain are governed by the laws of Panama, without regard to conflict-of-laws principles.

This choice does not deprive consumers of mandatory protections under the law applicable to them or their rights to bring proceedings where law permits.
